Tax Structuring

The entity question and the tax question are the same question asked twice.  Most people only get one of them answered.  A lawyer picks the structure, and the accountant finds out what it costs the following spring.

I hold an LL.M. in Taxation.  These are the questions that sit between what most business attorneys handle and what most accountants will answer.

I don't prepare returns.  I work alongside your CPA, not instead of them.  Your CPA works on the year you already had.  I work on the year you haven't had yet.

Entity Tax Classification Analysis: $850

LLC, S-corp, C-corp, partnership, and what each election actually commits you to.  Written analysis of the election that fits your business, including reasonable compensation exposure, self-employment tax treatment, distribution mechanics, and what it costs if you want to change your mind later.

Restructuring Tax Analysis: $1,500

Moving, converting, merging, or rolling entities under a holding company without creating a taxable event you didn't expect.  The difference between tax-free and expensive is usually sequence and paperwork, and it's invisible until the return is filed.

Business Sale & Purchase Structuring: $1,500

Asset sale versus equity sale, what each does to your tax bill, installment treatment for payments received over time, and where the proceeds should land.  The tax bill that hurts most is the one when you sell, and it's largely decided by choices made years earlier.

Inbound Investment Structuring for Non-US Owners: $1,800

For foreign individuals and companies investing in or through a US entity.  Entity selection, withholding and reporting obligations, effectively connected income, treaty positions where available, and the filings that follow.  The reporting requirements here are unforgiving and rarely explained up front.

Real Estate Holding Structure Review: $1,200

How many entities you actually need, how income and losses flow, what your current structure costs you every year, and whether consolidating or separating serves you better.

Retirement Account & Entity Interaction: $950

Self-directed IRAs and solo 401(k)s holding entity or real estate interests: prohibited transaction exposure, disqualified persons, and how to structure without disqualifying the account.
