What a lender actually looks at in your entity documents

Whether your paperwork tells a consistent story, and whether the person signing can bind the company.

Loan applications stall over documents at least as often as over credit.

The checklist behind the scenes

• Good standing. They'll pull your status from the state. An entity behind on filings is a stop.

• Consistency. State filing against operating agreement against EIN letter against your application. Any contradiction generates a question, and questions cost weeks.

• Authority. Who can borrow on behalf of the company, and what proves it. If your operating agreement is silent, or requires consents you haven't obtained, they'll want a resolution.

• The ownership chain. If entities own entities, they'll trace to individuals. They need to know who's ultimately responsible.

• Restrictions. Some operating agreements limit borrowing above a threshold or require member approval. Underwriting reads for that.

What generates the most delay

An operating agreement that doesn't match the state filing. A signer whose authority isn't documented. An ownership structure requiring explanation. An address that's a mail service.

Entities out of good standing in a state you forgot about.

The personal guarantee

Most small business lending requires one. That means the entity's protection is set aside for this debt — you're liable personally regardless of the structure.

Worth reading before signing, and worth negotiating. Sometimes limits or a release after a performance period are available if you ask.
